Contrato de Opción de Compra-Venta

Opción de Compra-Venta de Bien Inmueble
Entre nosotros, las partes:
A) El Vendedor: Nombre, nacionalidad, identificación, ocupación, estado civil, domicilio.
B) El Comprador: Nombre, nacionalidad, identificación, ocupación, estado civil, domicilio.
Acordamos suscribir el presente contrato de opción de compra-venta de bien inmueble, que se regirá por la ley de Costa Rica y las siguientes cláusulas:
1) El Inmueble
El bien inmueble que se venderá es la finca de la provincia de San José número 123456, derecho 000. Este derecho comprende la propiedad total o dominio de la finca.
El inmueble consta de 500 metros cuadrados y se ubica en Provincia, Ciudad, Distrito. La dirección exacta del inmueble en señas es la siguiente: de la Iglesia, 100 norte, casa verde frente a árbol de naranjas.
El inmueble actualmente tiene una casa construida que tiene 100 metros cuadrados de construcción, consta de dos cuartos, dos baños, una sala y una cocina; y se encuentra en buen estado de mantenimiento.
El inmueble es propiedad plena del vendedor y se encuentra libre de gravámenes hipotecarios y de anotaciones judiciales.
El inmueble se encuentra desocupado y así será vendido y entregado al comprador.
2) Precio
El precio de venta será la suma fija de ¢10.000.000 CRC (diez millones de colones costarricenses), que deberá ser pagada en dinero efectivo y líquido por el vendedor a más tardar en el último día del plazo de esta opción.
El pago completo del precio será una condición suspensiva de la compra-venta, lo que significa que el inmueble no se tendrá por vendido sino hasta que se pague todo el precio completo.
3) Plazo
El plazo de esta opción de compra-venta es de un mes, comenzando el día 1 de enero de 2022 y finalizando el día 1 de febrero de 2022.
Durante este plazo, el vendedor se compromete con el comprador a no vender, hipotecar, rentar ni enajenar de ninguna forma el inmueble. Deberá además darle mantenimiento básico y protegerlo activamente de cualquier amenaza que pudiera turbar el eventual goce del bien a favor del comprador.
4) Señal de Trato
Como señal de trato, el comprador paga con la firma de esta opción el monto de ¢500.000 CRC (quinientos mil colones costarricenses).
Esta opción de compra-venta solo tendrá validez legal si se comprueba este pago en fecha anterior o igual a la de la firma de este contrato. Si no se paga la señal de trato, este contrato se tendrá por terminado y el vendedor podrá disponer de la propiedad como guste.
En caso de concretarse la venta futura, la señal de trato será imputada al precio total acordado, por lo que el comprador solo deberá pagar la diferencia faltante para poder tener el precio por totalmente pagado. De lo contrario, la señal de trato se tendrá como indemnización única por daños y perjuicios a favor del vendedor.
5) Escritura de Traspaso
Si el comprador cumple con el pago del precio en el plazo dispuesto, ambas partes deberán comparecer en el plazo de una semana ante un notario a firmar escritura de traspaso del inmueble. El comprador también podrá condicionar el pago a que se realice en el mismo acto de firma de la escritura, dando aviso al vendedor con una semana de antelación para informar de la disponibilidad del dinero para el pago.
Los gastos de la escritura de traspaso (impuestos y honorarios de notario) serán pagados por ambas partes a la mitad. El notario será elegido por el comprador.
6) Incumplimiento
Si pasa el plazo de este contrato y el comprador no ha completado el pago del precio, se tendrá por no ocurrida la compra-venta. La señal de trato no será devuelta y será conservada por el vendedor como indemnización única por daños y perjuicios. El vendedor podría además disponer como guste del inmueble a futuro.
Si el comprador cumpliera con el pago del precio completo a tiempo y el vendedor no cumple con su obligación de firmar el traspaso de la propiedad, el comprador podrá pedir a un juez que firme la escritura de traspaso a su favor.
7) Posibilidad de Cancelación
El comprador sí puede cancelar esta opción en cualquier momento del plazo, con solo notificárselo al vendedor. En tal caso, el vendedor tendrá derecho a conservar la señal de trato pagada como indemnización única por daños y perjuicios.
El vendedor no podrá cancelar esta opción durante el plazo; pero quedará liberado de ella si se cumple el plazo sin que el comprador complete el pago correspondiente.
8) Declaraciones de Buena Fe
El vendedor en este acto declara bajo fe de juramento que no tiene deudas vencidas ni pleitos pendientes conocidos que pudieran resultar en un gravamen nuevo al inmueble que surgiera en el plazo en el que continúa como su dueño. Acepta que la transmisión o enajenación dolosa del inmueble durante el plazo de esta opción constituiría un fraude en contra del comprador, que podría ser perseguido a nivel civil y/o penal.
El comprador declara que el dinero para la compra provendrá de fuentes lícitas, que en este caso serán: un préstamo que va a sacar con el Banco Popular.
9) Adjuntos
Se adjuntan a este contrato los siguientes documentos:
1. Estudio de registro de la propiedad.
2. Fotos del estado de la propiedad.
3. Certificación de impuestos y tasas municipales al día de la propiedad.
4. Certificación de cuotas condominales al día.
5. Recibos recientes de agua y luz funcional para la propiedad.
10) Firma
Se emite y firma este contrato en San José, el día 1 de enero de 2025. Cada parte se queda con una copia firmada del contrato por ambas. Si se firma con firma manuscrita, cada parte además pone sus iniciales en la parte inferior de cada página del contrato. Es todo.
