El derecho corporativo es la rama del derecho que se centra en las empresas y en su todo los relacionado con ellas desde un punto de vista legal, es decir, las distintas clases de sociedades, la relación de la empresa con los consumidores, el análisis de la tributación o la contratación mercantil.
Desde una perspectiva histórica, el Derecho Corporativo proviene del Derecho Romano, en el que ya existía un principio general que afectaba a la actividad empresarial o mercantil: favor negotii (que viene a decir que en el caso de un conflicto legal que afecte al comercio hay que inclinarse hacia la postura que favorezca el propio negocio).
Los profesionales en derecho corporativo pueden trabajar en el sector privado o en el sector público y en relación con los negocios nacionales o con proyección internacional.
Áreas del Derecho Corporativo
Un especialista en esta rama del derecho puede recibir el encargo de estudiar y analizar la imagen de una empresa desde la perspectiva legal. Así, estudiará los contenidos de los diversos mensajes de la entidad (publicidad, notas de prensa o la viabilidad de la identidad de la empresa).
Cada empresa puede conformarse en un tipo de sociedad distinto en función de sus intereses y de su estrategia de negocio, para lo cual es necesario elegir la forma jurídica más adecuada (como empresario individual, en comunidad de bienes, como sociedad civil, colectiva o anónima o sociedad de responsabilidad limitada).
En las sociedades mercantiles es necesario establecer la responsabilidad de los administradores de dichas entidades, lo cual dependerá de la modalidad de administrador (administrador único, administradores solidarios o mancomunados).
La elección del contrato mercantil es igualmente clave en la dinámica de una empresa y el profesional del derecho corporativo tiene que asesorar sobre cuál es la tipología de contrato más conveniente en función de las circunstancias (contrato de compraventa, arrendamiento mercantil, contratos de garantía u otros).
Toda sociedad mercantil tiene la obligación de llevar unos libros corporativos como complemento de la actividad contable. En este sentido, existen los libros de actas de las asambleas o los libros de sesiones en los consejos de administración.
Derecho corporativo internacional
La actividad empresarial tiene una proyección internacional. Para ello es necesario la intervención de un profesional del derecho que conozca el derecho corporativo internacional. Estos profesionales pueden realizar tareas sobre temas muy diversos: derecho cambiario, derecho bursátil, derecho marítimo, así como temas legales relacionados con la actividad aduanera, los royalties o el comercio electrónico.
